This Registration Statement registers the offer and sale of an aggregate of 8,000,000 shares of common stock of Geron Corporation (the “Company”), par value $0.001 per share (the “Common Stock”), that are issuable under the Company’s 2018 Inducement Award Plan (the “Inducement Plan”).
Pursuant to Rule 416(a) promulgated under the Securities Act of 1933, as amended (the “Securities Act”), this Registration Statement shall also cover any additional shares of Common Stock that become issuable under the Inducement Plan by reason of any stock dividend, stock split, recapitalization or other similar transaction effected without receipt of consideration that increases the number of outstanding shares of Common Stock.

As permitted by Delaware law, the Registrant’s restated certificate of incorporation provides that no director will be personally liable to the Registrant or the Registrant’s stockholders for monetary damages for breach of fiduciary duty as a director, except for liability:
